These Terms of Service ("Terms") govern your access to and use of the website at sibyl-ai.com, the Sibyl Quantitative forecasting platform, and any related services (collectively, the "Service"). The Service is operated by Sibyl Quantitative ("Sibyl," "we," "us," or "our"). By accessing or using the Service, you ("you" or "User") agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and legally able to enter into a binding contract under the laws of your jurisdiction. The Service is currently a beta product. Models, prompts, pricing, forecast methodologies, and user-interface elements are in active development and may change without notice. Forecasts and signals may be inaccurate, stale, or wrong. Backtest accuracy and historical track records are not guarantees of future performance. You acknowledge that you are using a beta product and that any output you see should be treated as exploratory.

Sibyl is not a registered investment advisor (RIA), broker-dealer, futures commission merchant, commodity trading advisor, or financial institution under any jurisdiction. Sibyl does not provide investment advice, personalized recommendations, or any solicitation to buy, sell, or hold any security, derivative, cryptocurrency, or other asset.

All forecasts, signals, the Sibyl Take AI synthesis, multi-horizon predictions, consensus tiers, expected-move calculations, sector-routing outputs, and any other Content produced by the Service are informational only. They are not, and should not be interpreted as:

You acknowledge and agree that all trading decisions are made solely by you, based on your own research, risk tolerance, financial situation, and consultation with licensed professionals where appropriate. You assume full responsibility for any gain or loss arising from your use of the Service. The use of historical data, statistical models, machine-learning predictions, and AI synthesis in producing Content does not constitute investment advice. The Service offers an optional Auto-Trade feature that, when you enable and configure it, places real orders in your linked Alpaca Securities LLC brokerage account based on signals produced by the Service.

6. Subscriptions and Auto-Renewal

6.1 Subscription terms

The Service offers a paid Subscription ("Sibyl Pro") at $39.00 USD per month. New subscribers receive a 14-day free trial, during which time you will not be charged. At the end of the 14-day free trial, your payment method will be automatically charged $39.00 USD, and your Subscription will renew monthly thereafter at the same rate unless you cancel before the renewal date.

6.2 Auto-renewal disclosure (California Bus. & Prof. Code § 17602)

By starting a Subscription, you authorize Sibyl, through its payment processor Stripe, to automatically charge your payment method $39.00 USD per month until you cancel. Your Subscription will continue indefinitely on a monthly basis until canceled.

You may cancel at any time in your Account settings or by visiting the Stripe-hosted billing portal. Cancellation is effective at the end of the current billing period; you retain access to paid features until that date. Sibyl does not provide prorated refunds for partial months unless required by law.

You will receive an email reminder approximately 7 days before each renewal charge to the email address on file.

6.3 Pricing changes

We may change the Subscription price from time to time. We will notify you by email at least 30 days before any price change takes effect. If you do not agree to the new price, you may cancel your Subscription before the effective date. Continued use of the Service after the price change constitutes acceptance.

6.4 Free trial eligibility

The 14-day free trial is available to first-time subscribers only. Attempts to obtain multiple free trials by creating additional accounts may result in suspension and forfeiture of the trial. We reserve the right to limit free trial availability at our discretion.

8. Intellectual Property

Sibyl and its licensors own all right, title, and interest in and to the Service, including all software, models, model weights, training data, source code, designs, logos, trademarks, and Content generated by the Service. No license or right is granted to you except as expressly set forth in these Terms.

You retain ownership of any data you submit to the Service (e.g., watchlist entries, notes, feedback). By submitting such data, you grant Sibyl a worldwide, royalty-free, non-exclusive license to use, store, reproduce, and display that data solely for the purpose of operating and improving the Service.

"Sibyl Quantitative," the Sibyl logo, and related marks are trademarks of Sibyl Quantitative. You may not use these marks without our prior written permission.

9. Third-Party Services and Data

The Service integrates with the following third-party providers, each governed by its own terms of service and privacy policy:

Market data, news headlines, fundamentals, and other third-party data displayed in the Service are provided by these and other public sources. We do not warrant the accuracy or timeliness of any third-party data. Yahoo Finance's terms of service prohibit certain commercial redistribution; we do not redistribute their data outside the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, SIBYL MAKES NO REPRESENTATION OR WARRANTY THAT:

YOU EXPRESSLY ACKNOWLEDGE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) IN NO EVENT WILL SIBYL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST INVESTMENT RETURNS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF SIBYL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) SIBYL'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY, WILL BE LIMITED TO THE GREATER OF (i) THE AMOUNT YOU PAID SIBYL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100.00).

(c) NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. THIS INCLUDES, IN SOME JURISDICTIONS, LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.

YOU UNDERSTAND THAT TRADING LOSSES, INCLUDING TOTAL LOSS OF YOUR INVESTMENT CAPITAL, ARE A FORESEEABLE CONSEQUENCE OF TRADING SECURITIES AND OTHER FINANCIAL INSTRUMENTS. YOU AGREE THAT SIBYL IS NOT LIABLE FOR ANY TRADING LOSSES YOU INCUR, WHETHER OR NOT THOSE LOSSES ARE BASED ON CONTENT PRODUCED BY THE SERVICE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sibyl, its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

13. Governing Law; Arbitration; Class-Action Waiver

13.1 Governing law

These Terms are governed by the laws of the State of California, U.S.A., without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and the AAA's Consumer Arbitration Rules where applicable. The arbitration will be conducted in Los Angeles County, California. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

13.3 Class-action waiver

YOU AND SIBYL EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

13.4 30-day opt-out right

You may opt out of the arbitration agreement in Section 13.2 and the class-action waiver in Section 13.3 by sending written notice to legal@sibyl-ai.com within 30 days of first accepting these Terms. Opting out does not affect any other portion of these Terms.

13.5 Exceptions

Either party may bring an individual action in small-claims court. Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights or unauthorized use of the Service.

14. Termination

You may terminate your Account at any time by canceling your Subscription (if applicable) and replying "delete" to any account-related email, or by contacting support@sibyl-ai.com. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive (including without limitation Sections 4, 8, 10, 11, 12, and 13).

We may suspend or terminate your Account at any time, with or without notice, for any reason, including without limitation if you violate these Terms, if we are required to do so by law, or if we discontinue the Service.

15. Modifications

We may modify these Terms from time to time. Material changes will be communicated by email to the address on file at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
